1. Acceptance of Terms

These Terms form a legally binding agreement between you and Kacci Lab Inc. for your use of TripPlanGo. By creating an account or using the Services, you acknowledge that you have read and accepted these Terms and our Privacy Policy.

Related apps: Some features (including FunWalking) may interoperate with the standalone Hoiii Walk app. If you use the same account, certain coin balances, rewards eligibility, and related progress may sync across apps to provide continuity.

2. Eligibility

• You must be at least 13 (or the higher age required in your jurisdiction) to use the Services.
• You represent you have legal capacity to enter these Terms and, if accessing on behalf of an entity, authority to bind that entity.

3. Accounts & Security

• Provide accurate, complete registration information and keep it current.
• Maintain the confidentiality of your login credentials and all activity under your account.
• Notify us promptly of any suspected unauthorized access or security incident.

4. The Services & Your Responsibilities

The Services provide itinerary organization, collaboration tools, document/ticket management, AI-assisted suggestions, and optional step-based game elements (FunWalking) including coin earning and rewards redemption. Suggestions are informational only. You are responsible for verifying bookings, schedules, prices, availability, visa/entry rules, and other travel requirements with official providers.

Important: TripPlanGo is not a travel agency and does not book, modify, or guarantee reservations. Always confirm critical details with airlines, hotels, and vendors.

5. AI Features & Email Forwarding

By using AI features, you authorize us to process the inputs you provide (e.g., prompts, destinations, preferences) and to parse the content of travel-related emails and attachments you voluntarily forward to your trip-specific address. We may use third-party AI providers (e.g., OpenAI) to extract booking details and to generate itineraries, packing lists, summaries, or suggestions. Parsed, structured results may be stored to power in-app features. We do not sell or share your personal travel data for cross-context behavioral advertising.

You agree not to forward emails or upload content you are not authorized to share with us or your collaborators. You are responsible for reviewing AI outputs and any extracted booking details for accuracy.

6. Collaboration & Sharing

• You can invite others to view or collaborate on a trip. You are responsible for invitations you send and for complying with privacy/consent requirements applicable to your relationships.
• Per-trip privacy settings let you choose what to share (e.g., Bookings, Expenses, Documents) and with whom. Some features require sharing to function for collaborators.
• Media shared in chat/threads may expire automatically after a short period. Uploaded tickets/documents may be deleted automatically after a defined period following trip completion (see Privacy Policy).

7. Your Content & License to Us

“User Content” includes data, text, images, files, messages, emails/attachments, and other material you submit or upload. You retain ownership of your User Content.

You grant Kacci Lab a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, adapt, display, and transmit your User Content solely to operate, improve, and provide the Services (including to your invited collaborators) and to comply with law. You represent you have all rights needed and that your User Content does not infringe third-party rights.

8. Acceptable Use

You agree not to:

• Use the Services for unlawful, harmful, deceptive, or fraudulent purposes.
• Harass, threaten, or violate the rights of others, or post content that is defamatory, obscene, or illegal.
• Upload malware or attempt to interfere with the integrity or performance of the Services.
• Access or attempt to access accounts or data not intended for you; scrape, index, or reverse engineer without permission.
• Impersonate others or misrepresent your affiliation.
• Rewards abuse: attempt to manipulate step counts, location signals, referrals, devices, emulators, scripts, or redemption workflows to earn or redeem coins improperly.

9. Third-Party Services & Content

The Services integrate or reference third-party APIs and content (e.g., Google Maps/Places, OpenAI, SendGrid, app stores, analytics). Their terms and privacy notices govern their services. We provide required attributions in-app where applicable. Third-party data (including locations, photos, ratings, and other content) is for informational purposes and may change without notice.

10. Device Permissions, Location & Steps (FunWalking)

• Some features require device permissions (e.g., notifications, camera, file storage). You can disable permissions in device settings; related features may not function.
• Location services and step/activity counts (from permitted device health/fitness sources) are used to enable FunWalking and related features.
• No medical advice: The Services are not a medical device or medical service. Step/activity data may be inaccurate due to device limitations.

Coins and rewards overview

• Coins are a virtual in-app unit used for gameplay and rewards. Coins are not legal tender, not stored value, not a bank account, and have no cash value unless we explicitly state otherwise in writing.
• Coin earning rates, eligible activities, and redemption rules may change as part of gameplay balancing, fraud prevention, legal compliance, or operational needs.

11. App Stores, Subscriptions & Payments

• Purchases are processed by the Apple App Store or Google Play. Their terms and refund policies apply. We typically do not receive full payment card details.
• Taxes may apply based on your location. We may change pricing or features upon notice permitted by the store(s) and applicable law.
• Trials auto-convert to paid unless cancelled in store account settings before renewal.

Rewards redemption terms (merchandise & digital gift cards)

• Discretion & availability: Reward catalogs, denominations, and eligibility vary by country/region and are offered at our discretion, subject to availability, legal restrictions, and partner constraints. We may change, substitute, pause, or discontinue rewards at any time.
• Region gating: Certain rewards (especially digital gift cards) may be unavailable in your country. If a reward is not available, you may be shown alternatives or no option at all.
• Fulfillment partners: We may use third-party fulfillment partners and carriers to deliver merchandise or gift cards. Your redemption may be subject to their operational constraints.
• Shipping details: For physical merchandise, you must provide accurate shipping details. If an address is incomplete/incorrect, delivery may fail or be delayed. We are not responsible for losses caused by incorrect address details provided by you.
• Duties/taxes: Depending on your location, you may be responsible for customs duties, import taxes, or other fees charged by your jurisdiction or carrier.
• No resale: Rewards (including gift cards and merchandise) may not be resold, exchanged, or transferred where prohibited by law or reward partner rules.
• Fraud/abuse: We may reject, delay, cancel, or reverse redemptions and/or suspend accounts if we reasonably suspect abuse, automation, manipulation, policy violations, or legal non-compliance.

Important: We do not promise that any specific reward will be available at any time or in any country. Screenshots, marketing text, and examples are illustrative only.

12. Intellectual Property; Feedback

• We (and our licensors) own the Services, including software, design, and content (excluding User Content). We grant you a limited, non-exclusive, non-transferable license to use the Services for personal or internal business travel planning in accordance with these Terms.
• Hoiii and branding: “Hoiii”, “TripPlanGo”, logos, and related marks are trademarks or trade dress of Kacci Lab Inc. You may not use them without our permission.
• If you provide feedback or suggestions, you grant us a perpetual, worldwide, royalty-free license to use them without restriction.

13. Availability; Beta Features; Changes

• The Services may change or be discontinued in whole or in part. We may introduce beta or experimental features that may be unstable or change at any time.
• We strive for high availability but do not guarantee uninterrupted service. Offline access requires prior loading/caching of content.
• We may modify coin earning rates, reward catalogs, eligibility rules, and redemption workflows to maintain integrity, comply with law, or improve the experience.

14. Disclaimers

• As-Is: The Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.
• Travel Content: You are solely responsible for verifying itineraries, schedules, prices, availability, and travel requirements with official providers. We are not responsible for changes, cancellations, losses, or missed connections.
• AI Output: AI-generated content may be inaccurate or incomplete; use your judgment and verify independently.
• Rewards: We do not warrant that any reward will be available, error-free, or deliverable to all locations. Fulfillment timelines are estimates only.
• No Emergency Services / Medical Advice: The Services do not provide emergency or medical services.

15. Limitation of Liability

To the maximum extent permitted by law, Kacci Lab and its officers, directors, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages (including lost profits, business interruption, loss of data, or goodwill) arising out of or relating to the Services or these Terms, even if advised of the possibility. Our aggregate liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of USD $50 or the amounts you paid (if any) for the Services in the twelve (12) months preceding the event giving rise to liability. Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you.

Without limiting the above, we are not liable for: (a) third-party reward partner failures; (b) carrier delays; (c) losses caused by incorrect shipping details you provide; or (d) device sensor inaccuracies affecting step counts or map-based features.

16. Indemnification

You agree to defend, indemnify, and hold harmless Kacci Lab and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your User Content; (b) your use of the Services; (c) your breach of these Terms; or (d) your violation of law or third-party rights.

17. Term; Suspension & Termination

• These Terms remain in effect until terminated. We may suspend or terminate access (in whole or in part) if you violate these Terms, pose a security risk, abuse rewards systems, or if we discontinue the Services.
• Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive (e.g., licenses to feedback, disclaimers, limitations, indemnities, governing law) will survive.
• We may also limit or disable redemption features for compliance, fraud prevention, or operational reasons.

18. Governing Law & Dispute Resolution

These Terms and any dispute or claim arising out of or relating to them or the Services are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles and excluding the United Nations Convention on Contracts for the International Sale of Goods.

You and Kacci Lab Inc. irrevocably submit to the exclusive jurisdiction and venue of the courts located in Toronto, Ontario, Canada, except that either party may bring an individual claim in the small claims court of its county/province/state of residence if permitted by that court’s rules.

Nothing in this section limits any mandatory consumer protections available to you under the laws of your country or province of residence.

For clarity, the governing law and venue applicable to our Privacy Policy are the same as set out in this Section 18.

19. Export; Force Majeure; Miscellaneous

• Export: You must comply with all applicable export control and sanctions laws.
• Force Majeure: We are not liable for delays or failures due to events beyond our reasonable control.
• Notices: We may notify you via the app, email, or website postings.
• Entire Agreement: These Terms and the Privacy Policy are the entire agreement regarding the Services and supersede prior agreements on this subject.
• Severability: If any provision is unenforceable, the remainder remains in effect.
• Assignment: You may not assign these Terms without our consent. We may assign to an affiliate or in connection with a merger, acquisition, or asset sale.
• No Waiver: Our failure to enforce a provision is not a waiver.
• Headings: Headings are for convenience only.
• Language: The parties have expressly requested that these Terms and all related documents be drawn up in English.

20. Changes to these Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice (e.g., in-app or by email). Your continued use after changes become effective constitutes acceptance of the revised Terms.

Appendix: Apple App Store Terms

• You acknowledge these Terms are between you and Kacci Lab, not Apple. Kacci Lab is solely responsible for the App and its content.
• Your use of the iOS App must comply with the App Store Terms of Service.
• Apple has no obligation to furnish maintenance or support; Kacci Lab is responsible for support.
• In the event of any failure of the iOS App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the iOS App; to the maximum extent permitted by law, Apple has no other warranty obligation.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as “terrorist supporting,” and you are not on any U.S. Government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to the iOS App, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

Appendix: Google Play Store Terms

• Relationship with Google. These Terms are between you and Kacci Lab Inc., not Google. Your use of the Android App is also subject to the Google Play Terms of Service and any applicable policies.
• Support & Maintenance. Google has no obligation to provide maintenance or support for the App. Kacci Lab Inc. is responsible for App support.
• Refunds & Billing. Purchases and subscriptions made through Google Play are processed by Google. Refunds, cancellations, and renewals are handled under Google Play policies and your Play account settings, where applicable.
• Compliance & Export. You represent that you comply with applicable laws, including export control and sanctions laws, and that you are not located in an embargoed country or on a prohibited party list.

Appendix: Web App Access

• Browser Requirements. Web access depends on a modern, supported browser. Some features may vary across browsers or require updated versions.
• Login & Third-Party Auth. If you use third-party sign-in (e.g., Google/Apple), their terms apply to authentication. We are not responsible for third-party auth service outages.
• No App Store Involvement. The web version is not distributed via an app store; App Store or Google Play terms related to purchase flows do not apply to the web unless expressly stated.
• Offline Caching. Limited offline functionality may be available for previously loaded content. Clearing browser data may remove cached items.
• Extensions & Network. Browser extensions, ad blockers, VPNs, or corporate firewalls may affect performance or availability; you are responsible for your setup and connectivity.
